Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SimpliHeat (the “Service”), a web application for designing air-source heat-pump systems and producing customer proposals. SimpliHeat is a product of TheSimpliCo. Ltd, and “we”, “us” and “our” in these Terms mean TheSimpliCo. Ltd. By creating an account or using the Service you agree to these Terms. If you are using SimpliHeat on behalf of a company, you confirm you have authority to bind that company.

1. The Service

SimpliHeat helps heating professionals estimate heat loss, size emitters and heat pumps, and generate proposals. Outputs are indicative design aids. They are not a substitute for a full MCS survey, a competent person’s professional judgement, or compliance with the relevant standards (including BS EN 12831, MIS 3005 and MCS 020). You are responsible for verifying every figure before relying on it or presenting it to a customer.

2. Accounts

• You must provide accurate registration details and keep them up to date.
• You are responsible for activity under your account and for keeping your credentials secure.
• Accounts are for business use by heating professionals; you must be 18 or over.

3. Subscriptions, billing and taxes

Paid plans are charged per user seat on a recurring monthly basis at the price shown at checkout. Payments are processed by our reseller and Merchant of Record, Paddle(Paddle.com Market Ltd), who handle billing, invoicing and applicable taxes (including VAT). Your purchase is also subject to Paddle’s buyer terms. Subscriptions renew automatically until cancelled; you can cancel at any time and will retain access until the end of the paid period. Refunds are handled under our Refund Policy.

4. AI features

Some features use third-party AI models to assist you (for example, answering how-to questions or suggesting a U-value from a description). AI output can be wrong or incomplete and must be sanity-checked against manufacturer data and the applicable standards before use.

5. Prices and estimates

Where the Service shows an estimated price for equipment or materials, that figure is indicative only. It is drawn from published or typical figures and is not a quotation from any supplier, manufacturer or merchant. We do not warrant that any item can be obtained at an estimated price, and we accept no liability for the difference between an estimated price and the price you are actually able to obtain or are charged.

You are solely responsible for the prices you quote to your own customers. Confirm your costs with your supplier before issuing a quotation. Any quotation produced with the Service is your document, issued by you under your own terms, and creates no contract between us and your customer.

6. Acceptable use

You agree not to misuse the Service, including by attempting to breach security, reverse-engineer the software, resell access without permission, upload unlawful content, or use it to infringe others’ rights.

7. Your content

You retain ownership of the designs, customer details and other data you enter (“Your Content”). You grant us a licence to host and process Your Content solely to provide the Service. You are responsible for having the right to input any personal data of your customers and for handling it lawfully.

8. Our intellectual property

The Service, including its software, design, calculation methods and content, is owned by SimpliHeat and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing.

9. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted access, and we may update, change or discontinue features. We may modify these Terms; material changes will be notified and continued use constitutes acceptance.

10. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination you may request an export of Your Content within 30 days, after which it may be deleted.

11. Disclaimers and liability

The Service is provided “as is”. To the extent permitted by law we exclude implied warranties. Nothing in these Terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, and our total liability in any 12-month period is limited to the fees you paid for the Service in that period. Because SimpliHeat outputs are indicative, we are not liable for design decisions, installations, or figures presented to your customers.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
